dc.description.abstractIn this thesis, the wholesale of a significant amount of company assets, which is regulated under Article 408/2-(f) of the Turkish Commercial Code No. 6102 and determined as one of the inalienable powers of the general assembly, is analyzed. The thesis consists of three chapters; the situation in the comparative law, the relationship between the corporate bodies and the implementation of the wholesale of a significant amount of company assets are discussed in the thesis. In the thesis, the regulations in Turkish Law have been utilized, the case law of the Court of Cassation from the period of the abrogated Turkish Commercial Code No. 6762, including the period of the Turkish Commercial Code No. 6102, has been scanned and added to the thesis, and our opinions on controversial issues and determinations on lege feranda have been made in the thesis.

Tezde Türk Hukukunda bulunan düzenlemelerden yararlanılmış, Yargıtay’ın mülga 6762 sayılı Türk T"caret Kanunu dönem"nden, 6102 sayılı Türk T"caret Kanunu dönem" de dah"l oluşturduğu "çt"hatlar taranmış ve tez "çer"s"ne eklenm"ş, tez "çer"s"nde tartışmalı hususlarda f"k"rler"m"z ve lege feranda hususunda tesp"tlerde bulunulmuştur.
