TTK m.208 kapsamında anonim şirketlerde azınlığın ortaklıktan çıkarılması

Abstract

Türk Ticaret Kanunumuzun yürürlüğe girmesi ile birlikte hukuk hayatımıza yeni giren düzenlemelerden biri de anonim şirketlerde azınlığın ortaklıktan çıkarılması düzenlemesidir. Gerek Türk kanun koyucusu, gerekse daha önce benzer düzenlemeleri ülkelerinde gerçekleştiren kanun koyucular, bu yolla şirket içi menfaat dengesini en iyi şekilde sağlamaya çalışmaktadır. Çalışma kapsamında, anonim şirket özelinde azınlığın ortaklıktan çıkarılması ile hede? enen amaçlar ve TTK m.208 ile getirilen yeni düzenlemenin ana hatları ele alınmaktadır.

Squeeze out is a term referring to the compulsory acquisition of the stakes of a small group of shareholders from a joint stock company by means of cash compensation. A group of shareholders owning the large majority of the company have the ability to squeeze out remaining shareholders. the percentage of shareholders needed varies between jurisdictions. Squeeze-out rule allows majority shareholders to protect themselves from disproportionately high cost of protection of the rights of minority shareholders. Squeeze-out rule is primarily designed to protect rights of majority shareholders: minority shareholders may disturb normal business activity of the company by abusing their rights. This law is in Turkey new and ruled in TTK. This study examines main points of squeeze-out rule.
