dc.description.abstractThis study aims to provide a profound knowledge on M&A continuum as a whole while focusing on the following subjects: (i) M&A process and deal continuum from start to finish while emphasizing the importance of timeline, (ii) advisor’s role on deal and different types of advisors employed in both buy-side and sell-side, (iii) financial due diligence process and main financial schedules focused in FDD, (iv) deep dive into deal closing mechanisms and different approaches used in various territories, (v) historical review of Turkish M&A market starting from pre-pandemic period (2019) together with the trend comparison of USA M&A market. Each subject above is explained separately using actual samples and supportive documents throughout the thesis
dc.description.abstractBu tezin amacı şirket birleşme ve satın almalarına ilişkin detaylı bir analiz ortaya koymaktır. Tez temel olarak aşağıdaki konulara odaklanmaktadır: (i) Başlangıç aşamasından son aşamasına kadar şirket birleşme ve satın alma süreçlerini zamanlamayı dikkate alarak açıklamak, (ii) Alıcı ve satıcı taraflar için ayrı olacak şekilde şirket birleşme ve satın alma süreçlerindeki danışmanların rolünü açıklamak, (iii) Satın alma surecinde finansal özel inceleme çalışmasının önemini ve odaklanılan temel analizleri açıklamak, (iv) Satın alma işlemi kapanış mekanizmalarına odaklanarak farklı coğrafyalarda kullanılan mekanizmalara değinmek, (v) Pandemi öncesinden başlayarak Türkiye’de gerçeklesen şirket birleşme ve satın alma işlemleri eğilim / gidişatının Amerika Birleşik Devletleri ile karşılaştırmalı olarak incelenmesi. Yukarıdaki tüm konular tez içerisinde gerçek örnekler ve destekleyici dokumanlar kullanılarak ayrı ayrı incelenmiştir.
