Çalışmanın ilk bölümünde franchise kavramı, tarihsel gelişimi, sözleşmenin tanımı ve türleri ele alınmış; franchise sisteminin taraflara sağladığı avantajlar ve dezavantajlar değerlendirilmiştir. İkinci bölümde ise franchise sözleşmesinin esaslı unsurları ortaya konulmuş, benzer sözleşmelerle karşılaştırılması yapılarak hukuki niteliği ve şekil şartları üzerinde durulmuştur. Üçüncü bölümde tarafların borçları detaylandırılmış olup franchise verenin aydınlatma ve destek yükümlülükleri ile franchise alanın ücret ödeme, sadakat ve rekabet etmeme gibi temel borçları açıklanmıştır. Son bölümde franchise sözleşmesinin sona erme halleri ile sona ermenin taraflar açısından doğurduğu sonuçlar değerlendirilmiştir. Çalışmada, öğretideki görüşler ve uygulamaya yansıyan bazı durumlar dikkate alınarak, franchise sözleşmesinin Türk hukukundaki yeri genel hatlarıyla ortaya konulmuştur.This master's thesis examines the franchise agreement within the framework of Turkish law. In the first chapter, the concept of franchising, it’s historical development, the definition and types of franchise agreements are discussed; the advantages and disadvantages of the franchise system for the parties are evaluated. The second chapter outlines the essential elements of the franchise agreement, compares it with similar types of contracts, and focuses on its legal nature and formal requirements. In the third chapter, the obligations of the parties are set out in detail, with an explanation of the franchisor’s duties of disclosure and support, as well as the franchisee’s fundamental obligations such as payment, loyalty, and the non-compete obligation. The final chapter evaluates the termination of the franchise agreement and the legal consequences of termination for both parties.
